Agreement 2 — Membership

Incorporates the General Terms and Conditions in full. Standard provisions are set out therein and apply without repetition.

Membership is the first yes. Before mentoring, before building or partnering or supporting — there is the simple act of choosing to belong. The Member is the one who says: I am part of this. From the first yes, the Member holds a standing mandate to tend — to steward a project, or a corner of a hub, as far as they choose and as much as they contribute. They have crossed the threshold from visitor to participant, and that crossing is the foundation of everything else. Membership is what makes the network real for a person. This Agreement is the network’s answer to that yes. It opens the democratic life of the Association — voice, vote, the right to stand. It extends the insurance protection any honest commons must provide. And it begins the Network Passport: the soil from which every deeper relationship grows.

This Agreement is made and entered into on [Date] by and between:

ReGenerativa APS — ETS, a recognised Association for Social Promotion and Third Sector Entity (Associazione di Promozione Sociale — Ente del Terzo Settore) under Italian law, registered pursuant to Legislative Decree 3 July 2017, No. 117 (Third Sector Code) and inscribed in the Registro Unico Nazionale del Terzo Settore (RUNTS), with registered office at [Address], Castorano (AP), Italy, tax code 92074380442, represented by [Name and Title of Authorised Representative] (hereinafter, the “Association”);

and

[Member’s Full Name], born on [date] in [city], residing at [address], tax code/ID no. [ID number] (hereinafter, the “Member”).

The Association and the Member are hereinafter jointly referred to as the “Parties” and individually as a “Party.”

1. Admission as Member

1.1 The Association hereby admits the Member as an official member of ReGenerativa APS, and the Member accepts admission, according to the terms of the Association’s Statute and this Agreement.

1.2 By signing this Agreement, the Member confirms that they share the Association’s mission and objectives and agree to abide by all applicable provisions of the Statute and internal regulations.

1.3 Membership is open and based on the spirit of participation and solidarity, in compliance with Article 23 of the Third Sector Code, which guarantees open, non-discriminatory membership.

1.4 Membership is a prerequisite for natural persons holding any active role in the ReGenerativa constellation (GT-11.4). A natural person may not serve as Steward, Mentor, or Intrapreneur unless they hold a current Membership Agreement in good standing. Legal entities — cooperatives, companies, and other organisations — may hold the Sponsorship Agreement (Agreement 5) or the Partnership Agreement (Agreement 6) without being members of the Association. A natural person entering a Partnership Agreement in their individual capacity is also required to hold a current Membership Agreement.

2. Membership Rights

2.1 Participation and Voting. The Member has the right to participate in the General Assembly, exercise equal voting rights (one member, one vote) on resolutions, and stand for election to governing bodies, subject to any criteria defined by the Statute.

2.2 Information and Consultation. The Member is entitled to be kept informed about the Association’s activities and plans, including access to annual reports, financial statements, meeting minutes, and programme updates.

2.3 Participation in Activities. The Member has the right to take part in the Association’s programmes, events, and volunteer opportunities. When acting as a volunteer, the Member will be covered by the Association’s insurance as described in Clause 6.

2.4 Benefit of Services. The Member will have access to services, training, and resources offered to members under equal conditions, including use of shared spaces, workshops, courses, and member-only events.

2.5 Hub Circulation. Subject to availability and the applicable Hub DNA conditions, the Member may access and participate in activities at multiple hubs within the Association’s network, contributing skills, presence, and labour in exchange for hospitality and access. Access to contribution-dependent benefits (such as reduced-price programmes, extended stays, or priority access to hub resources) may be conditioned upon the recording of contributions through the Association’s digital tracking infrastructure.

2.6 Network Passport. The Member’s contributions are recorded and accumulated in their Network Passport (GT-3A); the more a Member contributes, the higher their priority and the lower their price for network resources, up to free. Membership is the soil from which every Passport grows.

Two readings of the Passport bear on membership. Lifetime-cumulative contribution governs access — the sliding-scale price and priority of GT-3A.3 — and is portable across the whole network. Active and recent contribution to a particular holon governs allocation authority under Clause 2.7 and is local to where the tending happens. Long-past contribution never ossifies into present allocation power. (A third, €-valued distribution reading exists only within Project and Venture partitions — GT-3A.4; it does not touch membership.)

2.7 Stewardship Mandate. From admission, the Member holds a standing mandate to tend the network’s places and projects. Where the Member actively contributes to a holon — a hub (Agreement 3), a Project (Agreement 6), or a venture (Agreement 7) — they share with their co-stewards a delega di spesa: delegated authority to direct that holon’s discretionary envelope, held in proportion to their recorded active contribution to that holon (weighted by the holon’s declared value system, GT-4.3A), exercised collectively, and bounded by the Allocation Model and the hard rails (GT-4). This authority is the administration of delegated resources, not a governance vote: it does not alter the equal, one-member-one-vote rights of Clause 2.1, and no measure of contribution ranks one Member above another in the democratic life of the Association.

3. Association’s Obligations to Members

3.1 Democratic Governance. Ensure that the Association is governed democratically in accordance with its Statute and the Third Sector Code (Art. 23 CTS), including the equal treatment of members, the right to vote, and the right to stand for election to governing bodies.

3.2 Transparency and Information. Provide members with timely access to annual reports, financial statements (bilancio di esercizio), the social balance sheet (bilancio sociale) where applicable, meeting minutes, programme updates, and reports on the Unified Fund (GT-1.10).

3.3 Access to Activities and Network. Make reasonable efforts to provide members with meaningful opportunities to participate in the Association’s programmes, events, and volunteer activities, and to access the regenerative capacity of the network’s hubs in accordance with available resources.

3.4 Insurance. Provide insurance coverage for members engaged in Association activities as required by Article 18 of the Third Sector Code, as further detailed in Clause 6. This coverage is a primary obligation of the Association and a primary benefit of membership — it is what the annual fee materially sustains.

3.5 Reinvestment. Use all revenues, surpluses, and contributions exclusively for the pursuit of the Association’s statutory purposes, in accordance with Art. 8 of the Third Sector Code. No profits, dividends, or surplus distributions shall be made to members.

3.6 Contribution Recognition. Develop and maintain systems for the recognition of member contributions, including volunteer time, skills, presence, and other forms of value, through the Association’s digital tracking infrastructure. Contribution records inform eligibility for contribution-dependent benefits under the sliding-scale access rule (GT-3A.3).

3.7 Gateway Obligations. Since membership is the prerequisite for all other roles held by natural persons, the Association commits to making the membership process clear, accessible, and humane. The admission process shall not be a barrier. The documentation shall be legible. The welcome shall be genuine.

4. Membership Duties

4.1 Annual Membership Fee. Pay an annual membership contribution of €25.00 (twenty-five euros) to the Association. The fee for the first year is due upon signing. Thereafter, the annual fee is due by 31 January of each year. The amount may be adjusted by the General Assembly. The fee is non-refundable.

This fee covers the Association’s insurance obligations under Article 18 of the Third Sector Code and sustains the legal and administrative framework within which all network activities are conducted. It is the material foundation of the member’s protection while participating in Association activities.

4.2 Active Participation. Contribute actively to the Association’s activities and community. Members commit to gift time and competences — guided by the holon’s co-stewards and the Member’s own judgement — toward regenerating the six dimensions of the Regenerative Covenant (GT-2), assessed through the Regenerative Impact Framework (GT-1.6). Contribution may take the form of volunteer time, skills sharing, presence at gatherings, mentorship, hub care, or participation in governance, and is recorded in the Network Passport (GT-3A).

4.3 Compliance with Statute and Decisions. Abide by the Association’s Statute, bylaws, and the lawful resolutions of its governing bodies, including internal regulations and codes of conduct.

4.4 Good Conduct and Loyalty. Maintain appropriate conduct, act respectfully toward other members and participants, and refrain from behaviour that could harm the Association’s activities, reputation, or legal standing. The Member shall not misuse the Association’s name or assets, and owes a duty of loyalty to the Association.

4.5 Volunteer Protocol. When volunteering, the Member agrees to follow health and safety guidelines, sign-in requirements, and any specific volunteer protocols. Volunteering is unpaid except for reimbursement of pre-approved expenses.

4.6 Shared Responsibility for Assets. Where an Asset at which the Member is active — a place (Hub), land, equipment, a tool, or a vehicle — faces operating costs not covered by the Asset holon’s own cost-coverage bucket (GT-4.4(b)) or by top-up via the Association holon’s discretionary allocation (GT-4.4(c)), Members active there share responsibility for the shortfall: they are expected to either chip in directly via a voluntary contribution to the Asset holon, or help co-create programmes (Mentorship, Sponsorship, Partnership, or Intrapreneurship) that generate the missing resources. This is a shared burden carried together, ahead of and alongside the network’s common reservoir (GT-4.4A, GT-4.8) — those closest to an Asset hold the first responsibility for keeping it whole. Consistent with GT-2.4, it is a shared commitment, not a personal financial liability — the form and scale of participation are voluntary and proportionate to each Member’s capacity.

5. Non-Transferability of Membership

5.1 Membership is personal and non-transferable. The Member may not assign or transfer membership rights to anyone else.

5.2 Membership does not confer any right to a share in the Association’s assets or profits. Any revenues must be reinvested in the Association’s activities, and in case of dissolution, residual assets will be allocated according to law, not distributed to members.

6. Insurance and Liability

6.1 In accordance with Article 18 of the Third Sector Code, the Association will provide insurance coverage for its members engaged in activities, including: accident and injury insurance; illness contracted during volunteering; and third-party liability for unintentional damage caused during volunteer work. This coverage is active for the duration of the Member’s current membership year, from the date of fee payment.

6.2 Outside official volunteer activities, the Member is not covered by the Association’s policy.

6.3 The Association will indemnify the Member for liabilities incurred in good-faith execution of duties assigned by the Association, provided the Member acted within their mandate and without gross negligence or wilful misconduct.

6.4 The Member may be held liable for damages resulting from the Member’s breach of this Agreement, unlawful conduct, or violations of the Association’s rules.

6.5 Members holding additional agreements (Stewardship, Mentorship, Partnership, Intrapreneurship) are covered by this Agreement’s insurance while acting in their capacity as members or volunteers. Activities under those additional agreements may carry separate insurance obligations as specified therein.

7. Suspension, Exclusion, and Termination

7.1 Suspension. The Board may suspend the Member’s rights temporarily for non-payment of fees (after reasonable grace period and reminder), behaviour harmful or disruptive to the Association, or a serious allegation of misconduct awaiting verification. A suspension grounded on an allegation awaiting verification lapses automatically after sixty (60) days unless the Board has by then either lifted it or opened the exclusion procedure under Clause 7.3.

7.2 Exclusion. The Association may terminate membership for: serious breach of obligations or Statute; intentional moral or material damage to the Association; persistent inactivity combined with prolonged non-payment of fees; or loss of membership requirements.

7.3 Procedure. Except for automatic termination due to non-payment as specified by the Statute, any suspension or exclusion shall follow a fair procedure: the Member shall be notified in writing of the intention and reasons, given an opportunity to respond within a reasonable time, and the decision communicated in writing. The Member may appeal to the General Assembly as provided in the Statute.

7.4 Effects. Upon termination of membership, the individual loses all membership rights effective from the date of termination. The downstream effect on any other constellation agreements the Member holds depends on the nature of termination.

Where membership terminates due to non-payment of the annual fee: the Member has thirty (30) days from the date of the termination notice to renew and restore their standing. If not renewed within this period, any other active constellation agreements are suspended until membership is restored. Membership may be restored within ninety (90) days of the original termination notice without formality; after that point the Association may treat the downstream agreements as void, in accordance with their individual termination provisions.

Where membership terminates for serious cause under Clause 7.2, or upon the Member’s voluntary resignation under Clause 8: the effect on downstream agreements is immediate. The Member’s eligibility to hold any other active constellation agreement is suspended from the date of termination; those agreements are not automatically terminated, but their conditions of validity are no longer met.

Where termination or suspension of membership affects a downstream agreement, the wind-down of that role nevertheless follows the downstream agreement’s own termination provisions — notice, handover of keys and records, completion or reassignment of scheduled commitments, and the written Passport summary (GT-3A.6) — the eligibility suspension and the role wind-down running concurrently. Suspension of eligibility removes the right to hold the role; it does not remove the protections that govern how the role ends.

The Association shall notify the Member of these consequences in the termination communication, and shall notify any directly affected counterparties within fourteen (14) days.

7.5 The former member is not entitled to any part of the Association’s assets or funds. Their Network Passport record is preserved and remains accessible to them.

8. Resignation

8.1 The Member may resign at any time by written notice. No refund of fees already paid is due.

8.2 Insurance coverage ceases at the date of resignation. Any other constellation agreements held by the resigning member are affected as described in Clause 7.4.

9. Duration

9.1 Membership is on-going, year-to-year. It remains in force as long as the Member continues to renew by paying the annual fee and is not suspended or expelled.

9.2 The membership year runs from the date of first admission and renews annually. For administrative simplicity, the Association may align all membership renewals to 31 January of each year, with a proportional fee for the first partial year.
