Incorporates the General Terms and Conditions in full. Standard provisions are set out therein and apply without repetition.
A Supporter is someone who has chosen to give without taking back. Money, materials, expertise, infrastructure, access — whatever form their support takes, it is offered without claim on the Association’s governance, surplus, or future. They are the patrons of the commons, the ones who make possible what others will then make real. There is something old in this role and something new: old, because every flourishing tradition has had its benefactors; new, because in a regenerative network the Supporter’s gift is held not as a transaction but as a Validated Contribution — recorded in the Contribution Ledger as part of the network’s living history. This Agreement is the network’s answer to that giving. It accepts the support, names its destination, returns recognition, and remembers.
This Agreement is made and entered into on [Date] by and between:
ReGenerativa APS — ETS, a recognised Association for Social Promotion and Third Sector Entity (Associazione di Promozione Sociale — Ente del Terzo Settore) under Italian law, registered pursuant to Legislative Decree 3 July 2017, No. 117 (Third Sector Code) and inscribed in the Registro Unico Nazionale del Terzo Settore (RUNTS), with registered office at [Address], Castorano (AP), Italy, tax code 92074380442, represented by [Name and Title of Authorised Representative] (hereinafter, the “Association”);
and
[Supporter’s Full Name], with registered office / residence at [address], tax code / VAT / ID no. [number], represented by [name, if applicable] (hereinafter, the “Supporter”).
The Association and the Supporter are hereinafter jointly referred to as the “Parties” and individually as a “Party.”
1. Purpose and Nature
1.1 By this Agreement, the Supporter undertakes to provide financial support, goods, services, consumables, or other resources to the Association or its designated beneficiaries.
1.2 Ownership of the supported resources fully transfers to the Association (or to the designated beneficiary) upon delivery and acceptance, unless the Parties expressly agree in Annex 1 that specific durable items are lent rather than given (in which case the Ownership Agreement governs those items).
1.3 No return of gifted resources is expected. The Supporter receives recognition and contribution tracking through the Contribution Ledger (General Terms GT-3), not ownership, control, or financial return.
2. Nature of the Support
2.1 The support may take one or more of the following forms: monetary contribution; donation of goods; loan or free use of tools, vehicles, equipment, spaces, or infrastructure; discounted provision of services; sponsorship of travel, accommodation, food, materials, or specific operational costs; coverage of costs relating to a particular person, hub, or activity; or access to networks, expertise, fundraising channels, or strategic opportunities.
2.2 The specific support shall be detailed in Annex 1 (Support Schedule), including value, timing, destination, restrictions, and whether the support is unrestricted, purpose-restricted, or milestone-based.
2.3 The Parties shall specify whether the support is non-corrispettivo (donation, liberal contribution, or fundraising support) or corrispettivo sponsorship with a defined recognition or visibility return. Article 7 of the Third Sector Code recognises fundraising by ETS also through donations and other contributions of a non-corrispettive nature.
3. Contribution Tracking and Destination
3.1 All support received shall be recorded in the Contribution Ledger (General Terms GT-3) as a Validated Contribution of the Supporter. The contribution record tracks the value, form, destination, and purpose of the support.
Recording is for recognition and the network’s memory. Per GT-3A.4A, support given under this Agreement does not raise the Supporter’s access priority or lower their prices under the access rule (GT-3A.3), and carries no weight in any Programme allocation score (Agreement 4 §4.5): recognition of giving is non-economic (Clause 4), preserving its liberal character (spirito di liberalità).
3.2 The Supporter may earmark support, subject to the Association’s acceptance, for:
- Operational costs of a specific hub
- Regeneration or improvement of a place
- Support of a steward or contributor
- Scholarships at the Member-friendly rate under Agreement 4 (for members who cannot otherwise afford the rate)
- Underwriting the direct delivery cost of Resource-cost places under Agreement 4 (covers the slot’s resource consumption; does not affect Resource-cost eligibility, which is determined by the contribution-priority claim in A4 §4.5)
- Equipment or tools for common use
- Educational or cultural programming
- Communication and documentation
- Conflict facilitation, governance support, or care infrastructure
- Mobility or inter-hub travel
- Strategic development of the network
- Regeneration of land, water, soil, or non-human living systems held by the network, on their own behalf
- A multi-generational endowment held for future stewards rather than spent in the current cycle
3.3 If the original destination becomes impossible or impracticable, the Association shall consult the Supporter and seek a good-faith reallocation aligned as closely as possible with the original intent. Where no reallocation is agreed within a reasonable time, unused purpose-restricted funds are, at the Supporter’s election, returned to the Supporter — where return is permissible under the gift’s fiscal classification (Clause 8.1) — or retained for the Association’s general statutory purposes.
4. Recognition
4.1 In acknowledgment of the Supporter’s contribution, the Association may recognise the Supporter through: listing in the network’s public supporter directory; mention on website or digital directory; mention in event communications; display of name or logo at a supported hub; recognition in annual report or storytelling; invitation to selected gatherings; or, at the Supporter’s election, a non-promotional acknowledgment - a living-history entry or witnessed act - for those who give in pure gift and decline visibility.
4.2 Recognition shall be proportionate, truthful, and mission-compatible. It shall not imply that the Supporter owns the hub, governs the Association, controls steward appointments, has veto rights over mission decisions, or has acquired private use rights.
4.3 Where the recognition amounts to a genuine promotional counter-performance, the Parties shall classify and document it accordingly, as corrispettivo sponsorship may have different accounting and tax consequences from a pure donation.
5. No Ownership, Control, or Profit Rights
5.1 The general exclusions of GT-11.5 apply: this Agreement transfers to the Supporter no property, governance, or profit right in the Association or any supported hub, project, person, or resource — including any equity, token, or profit-sharing right.
5.2 The Supporter may not present itself as owner, operator, or controller of the Association or any hub unless a separate lawful agreement expressly provides such role.
6. Association’s Responsibilities
6.1 The Association shall: receive and account for the support in accordance with applicable law; use the support for the agreed purpose; maintain reasonable transparency toward the Supporter regarding allocation and use; provide the agreed recognition; and inform the Supporter if a material issue arises that affects the supported purpose.
7. Supporter’s Responsibilities
7.1 The Supporter shall provide the agreed support in the form, timing, and condition described in Annex 1.
7.2 The Supporter warrants that it has the right to provide the funds, goods, or resources and that provision does not infringe third-party rights or violate law.
7.3 The Supporter shall not use this Agreement to interfere with the Association’s governance, community processes, or stewardship decisions.
8. Financial and Accounting Treatment
8.1 The Parties shall specify in Annex 1 whether the support is a donation (erogazione liberale), a fundraising contribution, a corrispettivo sponsorship, or an in-kind contribution.
8.2 The Association shall issue the appropriate receipt or fiscal documentation consistent with the legal classification.
8.3 The Parties acknowledge that the Association is not promising any financial return on the support.
8.4 Liberality documentation. For every erogazione liberale: payment by traceable means (bank transfer or card — a condition of the Supporter’s Art. 83 CTS relief); a receipt stating that the gift carries no counter-performance; in-kind contributions valued per DM 28 November 2019 (independent appraisal where required); and an annual summary provided to the Supporter on request. Recognition under Clause 4 is never economic, and allocation and access decisions across the network are made without reference to the donor record (GT-3A.4A).
9. Support of Specific People
9.1 Where support is directed to specific persons, the Association remains the legal recipient and allocator. The named person does not acquire an independent right to receive funds directly unless expressly agreed and lawfully documented.
10. Support of Tools, Goods, and Infrastructure
10.1 Where support consists of tangible resources, Annex 1 shall specify: whether ownership transfers; who is responsible for insurance; who bears maintenance costs; where the item may be used; and what happens on termination.
10.2 Unless otherwise agreed, tools and goods given as donations become property of the Association upon delivery and acceptance.
11. Duration and Termination
11.1 This Agreement enters into force on [date] and remains valid until the support has been fully delivered and accounted for, or until [date] for ongoing relationships, or until terminated.
11.2 Either Party may terminate for future performance by written notice, without prejudice to obligations already accrued.
11.3 Immediate termination for serious cause follows GT-6A. Upon termination, unused dedicated funds shall be handled as agreed in Annex 1, loaned goods returned, and pending recognition obligations cease.
12. Limitation of Relationship
12.1 This Agreement does not create a partnership, joint venture, agency relationship, fiduciary ownership structure, trust, labour relationship, or governance role for the Supporter.
